Black Rhino Group Pty Ltd (BRG) via its subsidiaries Black Rhino (Club Roma) Pty Ltd and Light Them Up (Roma) Pty Ltd as trustee for Light Them Up (Roma) Trust proposes to acquire business assets, including freehold properties and one leasehold interest, from Speedy Cocktails Pty Ltd (SC) and Barry John Waldron as trustee for the Barry Waldron Family Trust (collectively referred to as the Parties).
BRG proposes to acquire the following businesses in Roma, Queensland:
Club Hotel Motel Roma
two bottle shops (Cellarbrations at Superstore Roma, a drive-through in the Club Hotel Motel Roma and The Northern Bottle Shop / Bottle-O)
(the Acquisition).
BRG operates hospitality venues across Victoria, South Australia and Queensland, specialising in gaming, wagering, family bistros, sports bars, retail liquor, entertainment, and accommodation. In Roma, BRG operates Royal on Ninety-Nine and a Thirsty Camel bottle shop.
Club Hotel Motel Roma, operated by SC, offers on-premises hospitality services, entertainment and gaming facilities, function services and a motel that provides short-term accommodation services. Club Hotel Motel Roma also has an on-site drive-through bottle shop and an associated detached bottle shop.
The Parties overlap in:
the retail supply of packaged takeaway liquor products for off-premises consumption
the supply of on-premises hospitality services including bar service, casual dining, entertainment and gaming facilities
ancillary function/venue and catering services.
