Constellation Software - DerbySoft Holdings

Sail Parent Holdco Ltd, an acquisition vehicle ultimately wholly owned by Constellation Software Inc. (CSI), a publicly listed company on the Toronto Stock Exchange, proposes to acquire a majority shareholding of around 90% of the issued equity interests in DerbySoft Holdings Limited (DerbySoft), with DerbySoft’s management retaining the remaining shareholding.

Sail Parent Holdco Ltd is part of the Vela Operating Group, a group of operating companies owned by Vela Software International Inc., which in turn is a wholly owned subsidiary of CSI. The CSI group of companies (CSI Group), including Vela Operating Group, acquire, manage and build industry-specific software businesses globally in a variety of public and private sector industries. CSI Group includes two operating groups which, among other things, have teams focused on providing software to the global travel and hospitality industries: the Juniper Group, which is part of the Vela Operating Group, and the Jonas Group, another operating group of CSI.

DerbySoft and its subsidiaries are a business-to-business travel technology group that provides software and connectivity platform services facilitating digital commerce across the global travel ecosystem. It acts as a travel commerce accelerator, combining connectivity, marketing technology and end-to-end content distribution into a single ecosystem.
