CVC Capital Partners – The animal nutrition and health division of the DSM-Firmenich Group

The Acquisition is a private equity financial investment concerning the acquisition of DSM-Firmenich AG’s Animal Nutrition & Health business (the Target) by the following newly formed companies:

Specialty Bidco B.V.;

Specialty (U.S.) Bidco, Inc.;

Essential Bidco B.V.; and

Essential (U.S.) Bidco, Inc.

These companies are all indirectly controlled by funds advised or managed by affiliates of CVC Capital Partners plc (CVC Capital Partners), a public limited company incorporated in Jersey and listed in Amsterdam.

The CVC Network is a global alternative investment manager focused on private equity, credit, infrastructure and secondaries, and includes CVC Capital Partners, each of its subsidiaries, and the CVC Funds.

The seller is DSM B.V., a private limited liability company incorporated in the Netherlands and part of DSM-Firmenich AG. The Target is a global provider of science-based animal nutrition and health solutions for livestock producers and feed manufacturers. Its global activities span:

vitamins and carotenoids;

premixes;

performance solutions;

aroma ingredients; and

precision services.
