EPL - Indovida India

The Acquisition involves the merger of Indovida India Private Limited (Indovida India) with and into EPL Limited (EPL), by way of absorption of Indovida India as a going concern. In consideration of the merger, EPL (as the post-merger resultant entity) will issue and allot shares on a proportionate basis to the shareholders of Indovida India. As a result of the Acquisition, Indorama Netherland B.V. (INBV) (an indirect wholly owned subsidiary of Indorama Ventures Public Company Limited (IVL)) and Blackstone Inc. (Blackstone, which exercises sole control over Epsilon Bidco Pte. Ltd. (Epsilon), the existing controlling shareholder of EPL) will acquire indirect joint control over EPL. As a consequence of the Acquisition, INBV's direct interest in EPL will increase from 24.51% to approximately 52%.

EPL is a publicly listed Indian company engaged in the manufacturing and sale of packaging products, including laminated and extruded plastic tubes, caps and closures, and laminates. Its products are supplied to customers in the fast-moving consumer goods and pharmaceutical industries.

Prior to completion of the Acquisition, various subsidiaries of Indovida Netherlands B.V. will be consolidated under Indovida India. Globally, the subsidiaries which will form part of the Indovida Group are engaged in the manufacture and sale of pre-forms, bottles, and high-density polyethylene (HDPE) and polypropylene (PP) closures for use in the food and beverage and consumer products sectors. The Indovida Group's activities in Australia are limited to the supply of imported packaging products, specifically pre-forms made from polyethylene terephthalate (PET), and closures made from HDPE and PP.

The Indovida Group forms part of the wider IVL Group, a global conglomerate headed by IVL. It has diversified business interests, including in plastic packaging.
