Cognizant – Astreya

Pursuant to an Agreement and Plan of Merger, Asteroid Merger Sub, Inc. (Merger Sub), an indirect wholly owned subsidiary of Cognizant Domestic Holdings Corporation (Cognizant DHC) proposes to merge with and into Astreya Partners, Inc. (Astreya). Astreya will continue as the surviving corporation and become an indirect wholly owned subsidiary of Cognizant Technology Solutions (Cognizant), the parent company of Cognizant DHC (the Acquisition). Cognizant operates in Australia through a number of wholly owned indirect subsidiaries (together, Cognizant Australia). As part of the Acquisition, Cognizant will also acquire Astreya's Australian subsidiary, Astreya Pty Ltd (Astreya Australia). Cognizant and Astreya supply IT managed services. Cognizant provides IT services including, among other things, consulting, software engineering, cloud services data and AI, cybersecurity, business process outsourcing, and industry-specific solutions. Astreya is a digital and IT infrastructure managed service provider that is focussed primarily on digital workplace and end-user computing support, as well as delivering cloud and infrastructure managed services. Astreya has limited personnel in Australia that provide IT managed infrastructure services to a small number of multinational clients under global service arrangements.
