Winning Group Holdings – Winning Appliances

Winning Appliances is a retailer of kitchen, laundry and other home appliances which it supplies to consumers and businesses across Australia. Winning Appliances proposes to establish a new holding company Winning Holdings and undertake the following steps: the sale of all shares in Winning Appliances by the existing Winning Appliances shareholders to Winning Holdings, and the issuing of shares in Winning Holdings to the previous shareholders of Winning Appliances, in equal proportions to their shareholdings in Winning Appliances (together, the Acquisition). The share classes and rights of Winning Holdings following the Acquisition will reflect the share classes and rights of the existing shares in Winning Appliances.
