Wipro Enterprises Private Limited (Wipro) proposes to acquire a 91% interest in Indeco Ind S.p.A. and its subsidiaries (Indeco). A sale and purchase agreement was executed on 9 April 2026. Pursuant to that agreement, Wipro has designated its indirect wholly owned subsidiary, Wipro Pari Italy S.r.l., as the direct acquiring entity. Wipro is a privately held company incorporated in India that operates across a variety of sectors including fast-moving consumer goods, lighting, hydraulics, industrial automation, 3D printing, aerospace component manufacturing, and industrial water treatment. Its hydraulics division designs and manufactures hydraulic cylinders (i.e. hydraulic actuators that provide linear motion when hydraulic energy is converted into mechanical movement) with applications in construction and earthmoving, mining, lifting, forestry, agriculture and trucking. Wipro’s presence in Australia is limited to a related entity, Wipro Limited, which is a part of the Wipro Group (i.e. under common control). Wipro Limited and its Australian subsidiaries provide consulting, engineering, IT, and business process services in Australia. Indeco is a joint stock company incorporated in Italy. Indeco is a manufacturer of hydraulic demolition hammers and other excavator attachments. Indeco also provides maintenance services, primarily related to hydraulic hammers. Indeco’s products and services are primarily used in the mining and quarrying, infrastructure, land clearing, construction, demolition, and recycling sectors. Indeco has multiple subsidiaries globally. Indeco operates in Australia through its wholly owned subsidiary, Indeco Australia Pty Ltd (Indeco Australia). Indeco Australia sells hydraulic hammers and excavator attachments (including compactors, grabs, shears, pulverisers, mulching heads and multi-processors) as well as spare parts, which have applications in construction, mining, demolition, recycling, land clearing, infrastructure and forestry.
