OMERS Apollo Investment Holdings LLC (OMERS Apollo), which wholly owns Integris, LLC (Integris), proposes to acquire 100% of the shares in First Focus IT Pty Ltd (First Focus) both directly and via its controlled entities. Integris is an IT managed service provider which supplies mid-sized businesses with end-to-end managed services, including IT helpdesk, cybersecurity services, backup and disaster recovery and remote desktop services. Integris does not currently supply goods or services to Australian customers. OMERS Apollo is an investment vehicle established for the Ontario Municipal Employees Retirement System Primary Pension Plan. First Focus is an IT managed service provider which supplies services to mid-sized businesses across Australia and New Zealand. Its services include helpdesk support, cybersecurity, cloud services, assessing and providing tailored data services, IT, digital transformation and virtual CIO services consulting, AI implementation, app development, disaster recovery, unified communications and connectivity services. First Focus also provides consultancy services across IT strategy, transformation, and compliance, AI consulting and software development.
